Terms of Service and End-User Licence

Effective date: 2 October 2026 · Version: 1.0

1. Agreement and order of precedence

These terms govern access to and use of Tiquento’s website, mobile application, expense-management software and related support (the “Service”). The company or other legal entity accepting an order form or subscription (“Customer”) agrees to these terms. A person using the Service for Customer is an “Authorised User”. If an order form, data processing agreement (“DPA”), or written agreement signed by both parties conflicts with these terms, it prevails to the extent of the conflict.

2. Business use and accounts

The Service is offered for business use, not consumer use. Customer must ensure that its Authorised Users are authorised, keep account credentials confidential, provide accurate account information, and use the Service lawfully. Customer’s designated organisation administrator controls membership, roles and account access. Customer is responsible for its users’ use of the Service and for promptly disabling access for departing personnel.

3. Licence and restrictions

Subject to payment and compliance with this agreement, Tiquento grants Customer and its Authorised Users a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the subscription term to use the Service and mobile app for Customer’s internal business purposes. Except where law prohibits a restriction, Customer and users must not copy, modify, reverse engineer, decompile, circumvent security, interfere with the Service, rent, resell, or use the Service to build a competing product.

4. Customer data and privacy

Customer retains its rights in Customer Data, including expense records, receipt photographs, user data and exports. Customer grants Tiquento the limited right to host, process and transmit Customer Data as necessary to provide, secure and support the Service and as documented by Customer. The DPA governs personal-data processing where Tiquento acts as processor. The Privacy Policy governs data for which Tiquento acts as controller. Customer represents that it has a lawful basis to upload Customer Data and provide instructions to Tiquento.

5. Receipt content and AI-assisted extraction

Customer and users are responsible for the legality, accuracy and appropriateness of receipt files and expense information uploaded to the Service. Where enabled, OCR/AI extraction provides suggested fields only and must be checked by the user; it is not accounting, tax, legal or financial advice. Customer remains responsible for review, approvals, reimbursements, accounting treatment, tax filings and statutory recordkeeping.

6. Fees, taxes and third parties

Fees, payment terms, renewal and included seats are set out in the applicable order form or checkout. Fees are non-refundable except where mandatory law or a signed agreement says otherwise. Fees exclude applicable taxes. Payments may be processed by Stripe under its terms and privacy notice. Customer must keep billing information current.

7. Availability, support and changes

Tiquento may maintain, update and modify the Service, including to address security, legal or technical needs, provided it does not materially reduce the core subscribed functionality during a paid term without reasonable notice. Planned or emergency maintenance can affect availability. Support is provided by email at admin@tiquento.com; we aim to respond within two business days. No service-level agreement or availability commitment applies unless agreed in a signed order form. Notices about material changes are sent by email to the organisation administrator or shown in the Service.

8. Confidentiality

Each party may use the other party’s confidential information only to perform this agreement and must protect it with reasonable care. Confidential information excludes information independently developed, lawfully received without duty, publicly available without breach, or required to be disclosed by law (where notice is legally permitted).

9. Intellectual property and feedback

Tiquento and its licensors retain all rights in the Service, documentation, software, branding and improvements. No rights are granted except those expressly stated. Feedback may be used by Tiquento without restriction or compensation, provided it does not identify Customer or disclose Customer’s confidential information.

10. Suspension and termination

Tiquento may suspend access where reasonably necessary to protect the Service, comply with law, address a security risk, or respond to material breach or non-payment, and will give notice where practicable. Either party may terminate for material breach not cured within 30 days after written notice, unless cure is not possible. On termination, access ends. Customer should export Customer Data before the end of the term; deletion and return are governed by the DPA and the retention periods in the Privacy Policy.

11. Warranties and disclaimers

The Service is currently offered as an early-access product. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted availability, data retention and error-free operation. Customer is responsible for keeping its own copies of receipts, expense records and exports.

12. Liability

To the maximum extent permitted by law, Tiquento is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, business, goodwill or data, however arising. To the maximum extent permitted by law, Tiquento’s total liability arising out of or in connection with this agreement or the Service is limited to the lower of (a) the fees paid by Customer for the Service in the twelve months before the event giving rise to the claim and (b) €100. Nothing in these terms excludes liability that cannot be excluded under applicable law, including liability for fraud or wilful misconduct.

Customer will indemnify Tiquento against third-party claims arising from Customer Data, from Customer’s or its Authorised Users’ use of the Service in breach of these terms, or from Customer’s breach of applicable law.

13. General

Neither party may assign this agreement without the other’s consent, except to an affiliate or in connection with a merger, acquisition or sale of substantially all assets. Neither party is liable for delay beyond reasonable control, excluding payment obligations. Notices must be sent to the addresses in the order form. If a provision is unenforceable, the remaining provisions remain effective. This agreement is the entire agreement about the Service.

This agreement is governed by Spanish law. The courts of Madrid have exclusive jurisdiction, unless mandatory law provides otherwise. These terms are written in English; any translation is for convenience only. Tiquento may update these terms by publishing a new version on this page; material changes take effect 30 days after notice to the organisation administrator, and continued use of the Service after that date constitutes acceptance.
